Risk Factory Ltd provides information security whitepapers, best practices, tips and of course services (products) to you when you visit or shop at riskfactory.com (the “website”). Risk Factory provides these products to you subject to the conditions set out below.

Conditions of use

Please read these conditions carefully before using the Risk Factory website. By using Risk Factory services, you signify your agreement to be bound by these conditions.

We offer a wide range of products and sometimes additional terms may apply. When you use any Risk Factory service (for example our online security awareness portal), you will also be subject to the terms, guidelines and conditions applicable to that Risk Factory service (“service terms”). If these conditions of use are inconsistent with the service terms, those service terms will take precedence.

1. Privacy

2. Electronic communications

When you use the website (or send emails to us), you are communicating with us electronically. We will communicate with you by email or by posting notices on the website or through the other Risk Factory communications. For contractual purposes, you consent to receive communications from us electronically and you agree that all agreements, notices, disclosures and other communications that we provide you electronically satisfy any legal requirement that such communications be in writing, unless mandatory applicable laws specifically require a different form of communication.

3. Copyright, authors’ rights & database rights

All content included in or made available through the website, such as text, graphics, logos, button icons, images, audio clips, digital downloads and data compilations is the property of Risk Factory Ltd. and is protected by United Kingdom and international copyright, authors’ rights and database right laws.

You may not extract and/or re-utilise any digital content associated or made available through the website without our express written consent. In particular, you may not utilise any data mining, robots, or similar data gathering and extraction tools to extract (whether once or many times) for re-utilisation any substantial parts of the website content without our express written consent. You may also not create and/or publish your own database that features substantial parts of our website content (e.g. our prices and product listings) without our express written consent.

4. Trademarks

In addition graphics, logos, page headers, button icons, scripts, and service names included in the website are trademarks or trade dress of Risk Factory. Risk Factory’s trademarks and trade dress may not be used in connection with any product or service that is not Risk Factory’s, in any manner that is likely to cause confusion among customers or in any manner that disparages or discredits Risk Factory. All other trademarks not owned by Risk Factory that appear in the website are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Risk Factory.

5. Licence & access

Subject to your compliance with these conditions of use and your payment of any applicable fees, Risk Factory grant you a limited, non-exclusive, non-transferable, non-sub-licensable licence to access and make personal and non-commercial use of the Risk Factory website. This licence does not include any resale or commercial use of the website or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the website or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools.

All rights not expressly granted to you in these conditions of use are reserved and retained by Risk Factory or its licensors, suppliers, publishers, rights holders, or other content providers. No Risk Factory product, or any part of its website may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without our express written consent. You may not frame or use framing techniques to enclose any trademark, logo or other proprietary information (including images, text, page layout, or form) of Risk Factory without our express written consent. You may not use any meta tags or any other “hidden text” utilising Risk Factory’s names or trademarks without our express written consent.

You may not misuse the Risk Factory website. You may use the Risk Factory website only as permitted by law. The licenses granted by Risk Factory terminate if you do not comply with these conditions of use or any Service Terms.

7. Applicable law

These conditions of use are governed by and construed in accordance with the laws of the United Kingdom.

8. Alterations to service or amendments to the conditions of use

We reserve the right to make changes to any Risk Factory products, policies, terms and conditions including these conditions of use, and service terms at any time. You will be subject to the terms and conditions, policies and conditions of use in force at the time that you use the website. If any of these conditions of use is deemed invalid, void, or for any reason unenforceable, that condition will be deemed severable and will not affect the validity and enforceability of any remaining condition.

9. Waiver

If you breach these conditions of use and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these conditions of use.

Conditions of sale

These conditions of sale govern the sale of all products and services (products) by Risk Factory Ltd. to you through our website: riskfactory.com. Please read these conditions carefully before placing an order with Risk Factory. By placing an order with Risk Factory you signify your agreement to be bound by these conditions.

In addition to these conditions of use, the terms found here apply to any software as a service (including any updates or upgrades to the software and any related documentation) that we make available to you for your use.

1. Our contract

Your order is an offer to Risk Factory to buy the product(s) in your order. When you place an order to purchase a product from Risk Factory, we will send you an e-mail confirming receipt of your order and containing the details of your order (the “order confirmation e-mail”). The order confirmation e-mail is acknowledgement that we have received your order, and confirm acceptance of your offer to buy the product(s) ordered.

Your order will then be placed with the delivery team for scheduling and you will receive a separate “delivery confirmation e-mail” for each product ordered. The order confirmation email and delivery confirmation email will conclude a separate contract of sale between us for the product(s) specified. Your contract is with Risk Factory Ltd. Without affecting your right of withdrawal set out in section 2 below, you can cancel your order at no cost any time before we send the delivery confirmation e-mail relating to that order.

Please note that we sell products only in quantities which correspond to the typical needs of an average business. This applies both to the number of products ordered within a single order and the placing of several orders for the same product where the individual orders comprise a quantity typical for a normal business.

2. Your responsibilities

By placing your order with Risk Factory you agree to:

• Permit Risk Factory full access to all information, communication and technology systems as required to deliver the order.
• Grant Risk Factory your full permission to conduct service purchased in accordance with the United Kingdom Computer Misuse Act.
• Provide all information requested by Risk Factory for information, communications and technology systems as required to deliver the order.
• Assume responsibility for incorrect information submitted to Risk Factory to deliver the order and understand that incorrect information may lead to cost modifications.
• Provide connectivity to Risk Factory for information, communication and technology systems in scope as required to deliver the order.
• “White list” Risk Factory on security devices deployed on information, communication and technology systems in scope as required to deliver the order.
• Provide a technical point of contact to Risk Factory to be used during delivery of the order.
• Provide Risk Factory access to physical spaces as required to deliver the order.
• Provide Risk Factory access to staff as required to deliver the order.
• Agree to delivery of all orders during business hours of 09:00-17:00, Monday through Friday only.

3. Returns & refunds

Please review our Risk Factory Guarantee which applies to all products sold by Risk Factory.

If you are returning items, Risk Factory does not take title to returned items until the items arrive at the returns address destination. At our discretion, a refund may be issued without requiring a return. In this situation, Risk Factory does not take title to the refunded item.

4. Pricing & availability

All prices are exclusive of legally applicable VAT.

We list availability information for products sold by us on the website on each product information page. Beyond what we say on that page or otherwise on the website, we cannot be more specific about availability. As we process your order, we will inform you by e-mail as soon as possible if any products you order turn out to be unavailable and you will not be charged for those products.

Please note that unless otherwise stated in the delivery confirmation email, product delivery estimates are just that. They are not guaranteed delivery times and should not be relied upon as such.

Despite our best efforts, a small number of the items in our catalogue may be mispriced. We will verify pricing when processing your order and before we take payment. If we have made a mistake and a product’s correct price is higher than the price on the website, we may either contact you before shipping to request whether you want to buy the product at the correct price or cancel your order. If a product’s correct price is lower than our stated price, we will charge the lower amount and send you the product.

5. Product information

Unless expressly indicated otherwise, Risk Factory is the manufacturer of the products sold on this website. While we work to ensure that product information on our website is correct, actual product materials may contain more and different information to that displayed on our website. All information about the products on our website is provided for information purposes only. We recommend that you do not rely solely on the information presented on our website as product examples presented are just that – examples and actual service deliverables may be different to ensure best practices and latest applicable technology is included in the product. If you have any questions or concerns please contact Risk Factory prior to delivery.

6. Our liability

Risk Factory will not be responsible for:

• any business disruption, loss of connectivity or loss of access to the customer’s computer systems or data
• any business loss (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure)
• any indirect or consequential losses that were not foreseeable to both you and us when the contract for the purchase of the products was formed
• any physical damage to or loss of any tangible property caused by us or our employees or agents.

Breach of contract or statutory duty liability or negligence is limited to one hundred thousand pounds (£100,000) as the total aggregate amount for any and all claims.

Nothing in these conditions limits or excludes our responsibility for fraudulent representations made by us or for death or personal injury caused by our negligence or willful misconduct.

Any claim or action initiated by you shall only be valid if brought within three months of the cause of action arising.

Finally, we will not be held responsible for any delay or failure to comply with our obligations under these conditions if the delay or failure arises from any cause which is beyond our reasonable control. This condition does not affect your right to have the products delivered to you within a reasonable time. If the delay occurs before the products are delivered, we will not charge you for the products until delivery date is confirmed.

These conditions of sale are governed by and construed in accordance with the laws of the United Kingdom.

We reserve the right to make changes to our website, policies, and terms and conditions, including these conditions of sale at any time. You will be subject to the terms and conditions, policies and conditions of sale in force at the time that you order products from us, unless any change to those terms and conditions, policies or conditions of sale is required to be made by law or government authority (in which case it may apply to orders previously placed by you). If any of these conditions of sale is deemed invalid, void, or for any reason unenforceable, that condition will be deemed severable and will not affect the validity and enforceability of any remaining condition.
